Board Meeting Minutes

Even if you’re both a shareholder and director of your company, you’ll still need to hold an initial board meeting. It’s a legal requirement that if requested, you can provide the first board meeting minutes, as it is proof that a company director was formally appointed. At The Formations Company, we’ll provide you with a template to easily fill out your minutes.

Companies House Filing Fee

A £10 filing fee is charged at government organisation Companies House to officially register your company. We’ll pay this for you.  

Confirmation Statement

Previously called an annual return, you need to send a confirmation statement to Companies House every year, including when you initially form your company. We’ll provide you with a template so you can simply fill out the finer details.   

Shareholder Certificate

If a company is limited by shares, a Shareholder Certificate is sent out at the time of incorporation or just after incorporation. The certificate includes information such as the company’s registered address, plus the names and addresses of the shareholders.

Certificate of Incorporation

The certificate provides confirmation that your company has been incorporated under the Companies Act 2006. 

Company Register

Every company is legally required to maintain a company register of officers, members and minutes. We’ll provide a pre-prepared, bound collation of documents and templates for your company register.  

Memorandum of Association and Articles of Association

The Memorandum of Association is a written legal agreement signed by all initial shareholders of a company, agreeing to form the company. Articles of Association are the written rules which define how the company will be run. These rules are agreed on and signed by the company director, shareholders and secretary.
