New Company Registration: How to Do It in 8 Simple Steps

Registering a company with Companies House can be more tax efficient than forming a partnership or operating as a sole trader. The good news is that you’ll only have to complete a new company registration once and the process is pretty straightforward. In this article, we walk you through it in 8 simple steps.

 

1. Choose a Business Structure

The most common form of business is what’s called a ‘private company limited by shares’.

This is popular with entrepreneurs because it can be tax efficient and provides a separation between your finances and those of the company.

 

2. Get Expert Help

3. Pick a Name for Your Limited Company

The name you register with Companies House needs to be unique. Choose something that you feel comfortable saying. Give some thought to how the name will look on marketing material. And make sure it’s easy to spell.

4. Register with Companies House

They’ll want to know the name and address of your company and the name of the company director and company secretary. You will also need to fill in and return some forms.

If you don’t have a separate address for your business you should use your home address to register your company. But if you aren’t comfortable with your home address being made public, we offer a Registered Agent Service which lets you register your business at our Central London location.

 

5. Register for Corporation Tax

Limited companies pay corporation tax which is set at a lower rate than the income tax paid by sole traders and partnerships.

You should register for corporation tax during your first three months of trading or you could have to pay a fine. HMRC will send you the information you need after you register your company with Companies House. This will include your unique tax reference number and the deadline for filing your annual return.

 

6. Register Your Company as an Employer

You must do this even if the only person you’ll be paying is yourself in your role as the company director.

 

7. Register for VAT

If your company’s annual turnover will be more than £85,000, you should register for VAT. This is something an accountant can help you with.

 

8. Set Up a Business Bank Account

Some banks will want to see the documents you provided to Companies House and even a business plan before they’ll give you an account. Don’t forget to check what fees they charge for standard business services like setting up a standing order or clearing a cheque.
