Terms and Conditions for Company in a Box Vouchers
Please read these Terms and Conditions and our General Terms and Conditions (together the “Terms and Conditions”) before authorising any payment for Products and Services offered by TheFormationsCompany.com Limited.
TheFormationsCompany.com Limited issues a voucher (the “CIAB Voucher”) for a Company in a Box to customers through its Website. The CIAB Voucher may be used by the original purchaser (the “Purchaser”) or a recipient (the “Recipient”) the definition being anyone to whom the original Purchaser has offered the CIAB Voucher as a personal gift. The Purchaser must make the Recipient of the CIAB Voucher aware of the Terms and Conditions.
Please read the Terms and Conditions before purchasing and/or redeeming a CIAB Voucher. By purchasing and/or redeeming a CIAB Voucher the Purchaser and/or the Recipient confirm they have read and accepted both the Terms and Conditions and agree to be legally bound by them. Unless expressly stated otherwise in these Terms and Conditions in the event of a conflict between the General Terms and Conditions and these Terms and Conditions the latter shall take precedence. We reserve the right to modify and amend our Products and Services and the Terms and Conditions from time to time with or without notice.
Purchase of a CIAB Voucher
A CIAB Voucher can only be purchased directly from TheFormationsCompany.com by telephone on 0845 880 8180 or online at www.theformationscompany.com. The current price of a CIAB Voucher is GBP£60.00 inclusive of VAT. A CIAB Voucher can be purchased by using a credit card or a debit card. Once purchased a CIAB Voucher can be redeemed by contacting our Customer Service Team. The unique code on a CIAB Voucher is necessary for activation purposes. When purchasing a CIAB Voucher from us by telephone or online the Purchaser will need to give their name and the debit or credit card registered billing address. We will notify the Purchaser by email to confirm receipt of the order. The contract shall be formed at the place from which our acceptance email is sent to the Purchaser. Only one CIAB Voucher can be purchased per order. Only one CIAB Voucher is redeemable per company formation.
All CIAB Vouchers ordered before 15:00 hours on a weekday will be dispatched by post the same working day (excluding Bank Holidays) with all orders after 15:00 hours (or placed on weekends or on Bank Holidays) being dispatched by post the next working day. Delivery is by first class/standard mail within Great Britain and Northern Ireland only. Prices do not include postage costs and you must choose one of the delivery options when you order. The CIAB Voucher can be despatched by recorded or standard delivery. Secure delivery despatches occur on the next working day subject to the order being received by 11.00 hours.
We cannot be held liable for any loss suffered as a result of mail being delayed. We accept no responsibility for lost or stolen CIAB Vouchers. Please keep the CIAB Voucher in a safe place.
Eligibility to Purchase
To be eligible to purchase a CIAB Voucher and lawfully enter into and form contracts on this Website under English law the Purchaser must be an individual, be 18 years of age or over and register their name, address, telephone number, email address and any other details requested.
By offering to purchase Products and Services the Purchaser represents to us that they are 18 years of age or over and authorise us to transmit information (included updated information) to obtain information from third parties including but not limited to debit or credit card numbers or credit reports to authenticate identity, to validate credit card, to obtain an initial credit card authorisation and to authorise individual purchase transactions.
Restrictions
The Purchaser must be aged 18 years of age or over. The Recipient must be aged 16 years of age or over.
The CIAB Voucher must not be bought by or for a person legally restricted from forming a company within the UK.
The CIAB Voucher cannot be resold, transferred for value or redeemed for cash.
The CIAB Voucher purchased from us cannot be sold on to a third party.
Redeeming the Voucher
Each CIAB Voucher is the gift of a company formation and can be redeemed by the Purchaser or the Recipient by contacting our Customer Service Team and by quoting the unique code on the CIAB Voucher. Once a CIAB Voucher has been redeemed no refund will be available. We reserve the right to refuse to redeem a CIAB Voucher that has been duplicated or which otherwise is suspected of being fraudulent.
Cancellations and Refunds
CIAB Vouchers cannot be returned or refunded except in accordance with your legal rights.
The Purchaser of the CIAB Voucher has 14 days from date of purchase to cancel without incurring any penalty or charge. Only the Purchaser of the CIAB Voucher has the right to cancel. To request a refund please contact our Customer Service Team. The Purchaser must include the CIAB Voucher unique code and the reason for the refund request. Upon request we will cancel the CIAB Voucher and any refund will be made to the Purchaser within 30 days of receiving the request.
Once the request for a refund has been registered please put the CIAB Voucher into the CIAB Box and post it back to TheFormationsCompany.com, 130 Old Street, London EC1V 9BD. The Purchaser must return proof of purchase of the CIAB Voucher. Any refund made will be credit to the debit or credit card used in the purchase. There is no facility for cash refunds.
Once the CIAB Voucher has been redeemed the Purchaser and the Recipient will be bound by our Terms and Conditions and no refund will be available.
There is no guarantee that a company will be formed successfully as this will be wholly at the discretion of Companies House. If a company is not formed and dependant upon the reasons given by Companies House we may refund the balance of funds. Refunds in this instance are at our sole discretion and any fees incurred will be deducted from the refundable amount.
Once a company is formed no refund will be available.
Expiry
The CIAB Voucher will expire 12 months after date of issue if the CIAB Voucher has not been redeemed. The expiry date is clearly stated on the CIAB Voucher. CIAB Vouchers presented after their expiry date will be treated as void and are non-exchangeable and non-refundable.
Risk of Loss
The risk of loss and title for a CIAB Voucher will pass to the Purchaser upon our electronic transmission of the CIAB Voucher to the Purchaser or designated Recipient or our delivery to the carrier whichever is applicable. We are not responsible for any CIAB Vouchers that are lost, stolen, destroyed or used without permission and as such they will not be replaced or refunded.
Our Liability
Our liability in connection with this contract (whether arising in contract, tort (including negligence), breach of statutory duty or otherwise) shall be subject to the following exclusions and limitations:
We shall not be liable for any default resulting directly or indirectly from any cause beyond our control including but not limited to a lack of funds and/or failure of network services and failure of data processing systems. We shall not be liable for any loss of profits, loss of business, loss of data or any indirect, consequential, special or punitive losses. Where the CIAB Voucher is faulty due to our default our liability shall be limited to replacement of the voucher or (at our choice) a refund and in all other circumstances of our default our liability will be limited to a refund. Nothing in this contract shall exclude or limit our liability for fraudulent misrepresentation or for death or personal injury resulting from our negligence. To the extent permitted by law all conditions or warranties implied by law, statute or otherwise are expressly excluded.
The above exclusions and limitations set out in this section shall apply to any liability of our affiliated companies or suppliers, contractors, agents or distributors and any of their respective affiliate companies (if any) which may arise in connection with this contract.
Personal Information
The Purchaser and/or Recipient may provide us with personal data from time to time in connection with the CIAB Voucher. Some personal data will be necessary for us to provide the CIAB Voucher and Services under this Agreement. The Purchaser and/or Recipient must notify us in writing immediately of any change of name and address or other personal details. We and our affiliated companies are committed to maintaining personal data in accordance with the requirements of the Data Protection Act 1998 and will take all reasonable steps to ensure that personal data is kept secure against unauthorised access, loss, disclosure or destruction. Except as required by law or in accordance with these Terms and Conditions and/or our Privacy Policy personal information will not be passed to anyone without permission. To comply with Anti-Money Laundering Regulations we are required to request evidence of identity and may use an ID verification agency or credit reference agency (whose names and addresses will be provided on request) both prior to and following issue of the CIAB Voucher for this purpose and who will record that an entry has been made. We may contact credit reference agencies to check identity and they will add details of our search to the record. The Purchaser and/or the Recipient agree that we can use this personal data in connection with the CIAB Voucher to enable us to review, develop and improve our Products and Services. This may involve providing personal data to our affiliated companies, agents, distributors, and suppliers to process transactions and for their statistical research and analytical purposes. We may also disclose personal data as required by law, regulation or any competent authority or agency including to authorities and agencies to investigate possible fraudulent, unlawful or unauthorised activity. The Purchaser and/or the Recipient may contact us at any time to request us to stop such use or further disclosure to other companies for such use. The Purchaser and/or the Recipient have a right to inspect the personal data we hold however we will ask for an inspection fee amount of up to £10.00 to cover our costs. For further information please contact our Customer Service Team. If we discover that the information we hold about the Purchaser and/or the Recipient is incorrect we may have to suspend or cancel the CIAB Voucher and/or related Services until we can establish the correct information in order to protect all parties.
Fraud
We will have the right to close customer accounts and take payment from alternative forms of payment if a fraudulently obtained CIAB Voucher is redeemed.
Law and Jurisdiction
The Terms and Conditions shall be governed by and construed in accordance with the laws of England and will be subject to the exclusive jurisdiction of the courts of England.
